1. Acceptance of Terms
By accessing or using the flux-ai.ai website, any related services, applications, or features (collectively, the “Service”), you (“you”, “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with all of these Terms, you must not access or use the Service.
2. Description of the Service
Flux AI is an online platform that enables you to create, upload, edit and generate images, videos and other digital content using artificial-intelligence models. The Service uses third-party API providers — including OpenAI, Google Gemini, Kling AI — to process prompts, inputs and generate outputs.
You acknowledge that your use of those third-party APIs is subject to their terms as well, and Flux AI acts as a facilitator of that service.
3. User Accounts, Access and Security
- To use certain features of the Service you may be required to register and create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately of any unauthorised use or suspicion of breach of your account.
- You agree to provide true, accurate, current and complete information when registering and to update such information to keep it accurate.
4. Acceptable Use and Prohibited Activities
You agree not to use the Service for any unlawful or prohibited purpose. Prohibited activities include, but are not limited to:
- Uploading, generating or distributing content that is illegal, obscene, defamatory, infringing, unlawful, or violates third-party rights.
- Using the Service in a manner that would interfere with or disrupt the Service or networks connected to the Service.
- Attempting to reverse-engineer, decompile, disassemble or extract any part of the Service or the third-party APIs.
- Using generated content to train or build competing AI models or services unless explicitly permitted.
- Engaging in automatic or bulk generation or distribution without prior authorisation.
We reserve the right to suspend or terminate your access at our discretion if you breach these rules.
5. Content Ownership, Licensing and Usage
a) Your Generated Content
When you generate or upload content via the Service, you retain full ownership of that content (“Your Content”). We claim no ownership rights in Your Content.
b) No Model-Training Usage
Your private inputs, prompts, uploads, and generated outputs are not used by us to train, fine-tune or improve our or any third-party AI models. They are processed solely to provide you with the generation/editing service.
c) Public Content and Sharing
If you choose to make your content public within the Service (for example, sharing it in a gallery or community feed), you grant Flux AI a non-exclusive, royalty-free, worldwide license to display, reproduce, publish and promote that content for the purposes of the Service and our marketing. You remain owner, and you may revoke or remove shared content at any time through your account settings.
d) Your Right to Use
You may use Your Content for personal, commercial and editorial purposes, subject to compliance with applicable laws and third-party rights (e.g., trademarks, privacy rights of individuals). Flux AI is not responsible for any claims arising from your use of Your Content.
6. Subscriptions, Payments & Refunds
- Certain features of the Service may require payment (e.g., subscription, tokens). Payment terms are clearly displayed on the Service and you agree to pay all fees in accordance with those terms.
- All payments are processed via third-party payment providers and we do not store full card information.
- Refunds are subject to the refund policy as shown on the website; generally, once generation tasks have been executed or tokens consumed, fees are non-refundable unless required by applicable law.
7. Termination and Suspension
- We may suspend or terminate your access to the Service at any time, with or without cause, including if we believe you have violated these Terms.
- Upon termination, your right to use the Service ceases, but Your Content you created may still be subject to the licenses you granted under Section 5.
- We may delete your account and/or content after a reasonable period following termination, in line with our data retention and deletion policy.
8. Disclaimers and Limitation of Liability
- The Service is provided “as is” and “as available,” and we make no guarantees of uptime, error-free operation or results.
- To the maximum extent permitted by law, Flux AI and Toon Tech Ltd disclaim all warranties, whether express or implied, including fitness for a particular purpose, non-infringement, accuracy of outputs.
- In no event shall Flux AI, Toon Tech Ltd or affiliated parties be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Service or generated content, even if advised of the possibility of such damages.
- Our total liability for direct damages shall be limited to the amount you paid in the preceding 12 months (or a reasonable amount if you didn’t pay anything).
9. Intellectual Property Rights
- All intellectual property rights in the Service (software, interfaces, design, logos, trademarks) are owned by or licensed to Toon Tech Ltd, unless otherwise stated.
- You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
- You may not copy, reproduce, distribute or create derivative works of the Service except as explicitly authorised.
10. Changes to the Service or Terms
We reserve the right to modify, update or discontinue the Service (or any portion thereof) at any time, with or without notice. We may also update these Terms from time to time. The updated Terms will be posted on the website with a new “Last Updated” date. Your continued use of the Service after such posting constitutes your acceptance of the revised Terms.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England & Wales. Any dispute arising out of or relating to these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the courts of England & Wales.
12. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
13. Waiver
No waiver of any term or condition hereunder shall be valid unless in writing and signed by an authorised representative of Toon Tech Ltd.
